2. Purpose and content of the Website 本ウェブサイトの内容と目的
2.1. Tokyomono is an online content platform putting potential sellers (“Seller”) and potential buyers (“Buyer”) in relation for the purpose of making a potential transaction of one or several movable personal properties (an “Object”), (a “Transaction”). Tokyomonoは、潜在的な売り手（以下「売り手」という）と潜在的な買い手（以下「買い手」という）が、1つ又は複数の動産（以下「物品」）の取引（以下「取引」という）を行う目的で関係を結ぶオンライン・コンテンツ・プラットフォムである。
2.2. The Website aims at allowing Sellers and Buyers to post content for the purpose of finding an interested party with regards to the selling or buying of licit Objects for licit purposes. 本サイトは、売り手と買い手が、合法的な物品の売買に関して利害関係のある相手を探すためにコンテンツを掲載することを目的とする。
2.3. Tokyomono shall not be a party to any Transaction whatsoever. The decision to make a Transaction engages the sole responsibility of the Seller and the Buyer. Tokyomono shall bear no responsibility whatsoever with regards to the negotiation, carry-on and/or after sale of any Transaction or for any damage, claim or obligations arising from it.
TokyoMonoいかなる取引にも当事者とならないものとする。取引の決定は、売主及び買主の単独の責任となる。TokyoMonoは、本取引の交渉、遂行及び売却後に関して、また本取引から生じるいかなる損害、請求及び義務に関しても、一切の責任を負わないものとする。
3. Account Registration / アカウントの登録
3.1. Users who (i) are natural persons, (ii) have reached the age of majority in their country of residence or the age of eighteen (18) if residing in Japan, (iii) have created an account, and (iii) who consent to comply with these Terms of Use shall be authorized to register an account on the Website. (i)自然人であり、(ii)居住国において成年に達しており、日本に居住する場合は18歳であり、(iii)アカウントを作成し、(iv)本利用規約の遵守に同意する利用者は、本ウェブサイトにおいてアカウントを登録する権限を与えられるものとします。
3.2. In order to register for an account, users shall enter current and accurate information, that do not belong to any third party, to create an account on the Website. Users shall not impersonate any other natural or judicial person, in particular with regards to their chosen username on the Website. 利用者は、本ウェブサイトにアカウントを作成するために、第三者に帰属しない最新かつ正確な情報を入力するものとします。利用者は、特に本ウェブサイト上で選択した利用者名に関して、他の自然人又は法人になりすますことはできないものとする。
3.3. Tokyomono may not allow a user to register for an account if the user seeking to register does not comply with the requirements stipulated in these Terms of Use. TokyoMonoは、利用者登録をされようとする方が本利用規約に規定された要件を満たさない場合 、利用者登録の申請を承認しないことがある。
3.4. Account holders are allowed to post content on the Website in order to offer to sell or to buy an Object (the “Posted Content”). アカウントホルダーは、商品の販売又は購入を申し込むために、本ウェブサイトにコンテンツを投稿することできる（以下、「投稿コンテンツ」という）。
3.5. Users shall only own one (1) account. 利用者は、1つのアカウントのみを所有するものとする。
3.6. Users shall keep their access information strictly personal and shall not share any information related to their account with any third-party. 利用者は、アクセス情報を厳重に管理するものとし、アカウントに関するいかなる情報も第三者と共有しないものとする。
3.7. Users shall be solely responsible for the use made of their account. Therefore, users shall remain solely responsible for any damage caused by a leakage of information and/or in the event of a third party having an unauthorized access to their account due to an inadequate management of an account by its user. 利用者は、自己のアカウントの使用について単独で責任を負うものとする。したがって、利用者のアカウント管理不十分による情報漏えいや第三者による不正アクセスにより生じた損害については、利用者が一切の責任を負うものとする。
3.8. In the event of a leak of the access information to the User’s account, Users shall inform Tokyomono without delay and comply with Tokyomono ’s instructions. 利用者は、アカウント情報が第三者に漏えいした場合又はそのおそれがある場合、速やかにTokyoMonoまで連絡するものとする。また、その際にNAMEの指示がある場合にはこれに従うものとする。
3.9. Any change of the user’s situation shall be reflected in the account without delay. Users remain responsible for keeping the registration details updated at all times. 利用者は、登録内容に変更がある場合は、直ちに変更しなければならず、常に利用者自身の正確な情報が登録されているように登録内容を管理及び修正する責任を負う。
3.10. In the event that Tokyomono determines that a user is in breach of these Terms of Use or any other policy of the Tokyomono Website, Tokyomono shall, at his sole discretion, reserve the right to immediatelysuspend, deactivate or suppress the account. 利用者が本利用規約又はNAME本ウェブサイトのその他のポリシーに違反しているとTokyoMonoが判断した場合、TokyoMonoは独自の裁量で、アカウントを直ちに停止、無効化、抑制する権利を有するものとする。
3.11. Users may suppress their account at their sole discretion, at any time. 利用者は、自己の裁量により、いつでもアカウントを抑制することができる。
4. Content posting / コンテンツ掲載
4.1 Users shall post content and interact in English. 利用者は、英語でコンテンツを投稿し、交流するものとする。
4.2 Users shall only post content of their own or that they have the right to use. By adhering to these Terms of Use, the users represent that they shall not infringe on or violate any third party’s rights when posting their content on the Website. 利用者は、自ら又は自ら使用する権利を有するコンテンツのみを投稿するものとする。利用者は、本利用規約を遵守することにより、本ウェブサイトにコンテンツを投稿する際に、第三者の権利を侵害しないことを表明するものとする。
4.3 By adhering to these Terms of Use and by using the Website services, to irrevocably grant Tokyomono a non-transferable, non-exclusive, royalty-free, perpetual license to use, display, edit, modify, reproduce, distribute, store, and prepare derivative works out of the Posted Content. The foregoing may be displayed on any formats and through any channels whatsoever, without any geographical limitations. 本利用規約を遵守し、本ウェブサイトのサービスを利用することによりNAMEに対して、譲渡不能、非独占的、ロイヤリティフリー、永久的な、投稿コンテンツの使用、表示、編集、修正、複製、配布、保存、及び派生作品の作成に関するライセンスを取り消し不能で付与するものとする。上記は、いかなる形式、いかなるチャネルにおいても、地域的な制限なく表示することができる。
4.4 The Content Posted on offers shall only involve licit and free of any encumbrance products that shall be the property of the Seller or of the person having duly given the power to the Seller to sell the product. オファーに掲載されたコンテンツは、売主又は売主に製品を販売する権限を正式に与えた者の財産である、いかなる抵当権もない合法的な製品にのみ関与するものとする。
5. Inappropriate content / 不適切な内容
5.1 The following qualifies as “Inappropriate Content” and shall be subject to the provisions of the following article. 以下のものは「不適切なコンテンツ」に該当し、次条の規定が適用されるものとする。
(i) any content posted without the permission of its owner or in infringement of a third party’s Intellectual Property’s rights; 権利者の許可なく、又は第三者の知的財産の権利を侵害する形で投稿されたコンテンツ.
(ii) inappropriate with regards to the Website object, false, misleading and/or aiming at circumventing these Terms of Use and/or any applicable law, regulation and/or policy; 本ウェブサイトのオブジェクトに関して不適切、虚偽、誤解を招く、及び/又は本利用規約及び/又は適用さ れる法律、規則及び/又はポリシーを回避することを目的とするもの (iii) illegal, defamatory, abusive, threatening content, or publication encouraging to take any action pertaining to the foregoing; 違法、中傷的、罵倒的、脅迫的な内容、又は上記に関連する行動をとることを奨励する出版物.
5.2 The posting of inappropriate content may result in the notification, suspension, deactivation or suppression of one’s account. 不適切なコンテンツを投稿した場合、当該利用者に対して通知、アカウントの停止、無効化、抑制を行う場合がある。
5.3 If we consider that a user has violated these Terms of Use or acted inappropriately with regards to these Terms of Use, we may change and delete any content that is in breach without prior notice. 弊社は、は、利用者が本利用規約に違反し、又は本利用規約の精神に照らして不適切な行為を行ったと判断した場合、事前に通知することなく、違反したコンテンツを変更・削除することができるものとする。

6. Antisocial forces / 反社会的勢力
6.1 In the event that it is found that a user is a member of any organization that might collectively and/or regularly facilitate the commission of illegal acts (the “Antisocial Forces”), and/or have any financial or monetary relationship with Antisocial Forces, Tokyomono reserves the right to refuse an account registration or to suspend, deactivate or suppress an account. TokyoMonoは、利用者が集団的又は常習的に違法行為を犯す可能性のある組織（以下「反社会的勢力」という）の一員であることが判明した場合、又は反社会的勢力と経済的、金銭的関係があることが判明した場合、利用者のアカウント登録を拒否し、またはアカウントの停止、解除、差し止めを行うことができる。
7. Matters not stipulated / 定めのない事項等
Any matter that has not been stipulated in these Terms of Use, or on which any doubt arises regarding its interpretation, shall be resolved through discussion in good faith. 本規約に定めのない事項またはその解釈に疑義が生じた事項については、誠意をもって協議の上、解決するものとする。
8. Compliance with applicable laws and policies / 適用される法律及び方針の遵守
Users shall solely be responsible for any obligation arising from a Transaction, regardless of its source (legal, contractual, administrative) and shall bear the responsibility and costs arising from the non-compliance with these obligations. 利用者は、本取引に起因するあらゆる債務について、その発生原因（法律上、契約上、行政上）の如何を問わず、単独で責任を負うものとし、これらの債務の不履行から生じる責任と費用を負担するものとする。
9. Changes to these Terms of Use / 本利用規約の変更
We reserve the right to change the content of these Terms of Use from time to time. Users navigating on Website after modifications to these Terms have been made, are deemed to have agreed to such modifications. The Company shall not be held liable for any and all damages incurred by the User as a result of the modification of these Terms of use, unless such damages are caused by Tokyomono or negligent actions. 弊社は、本利用規約の内容を随時変更できるものとする。本利用規約の変更後に、利用者がNAMEを利用した場合には、利用者は、本利用規約の変更に同意をしたものとみなされる。弊社は、本利用規約の改定又は変更により利用者に生じたすべての損害について、TokyoMonoの故意又は過失に起因する場合を除き、責任を負わない。
10. Waiver / 権利放棄
In the event that a User posts Inappropriate Content and receives no notification of suspension, deactivation or suppression notice, thus shall not be deemed a waiver by the Website to pursue actions or make any claim it may be entitled to. 利用者が不適切なコンテンツを投稿し、停止、無効化又は抑制の通知を受けない場合、本ウェブサイトが訴訟を追求し、権利を主張することを放棄したとはみなされないものとする。
11. Limitation of liability / 責任の制限
Tokyomono.net makes no warranties or representations with respect to the Website, which is provided “as is”. Tokyomono shall not be liable for any damage, including virus infection, to your computer equipment, software, data or other property on account of your access to use or browsing of the Website or your downloading of any materials, data, text, images, video or audio from the Website. To the extent permitted by applicable law, Tokyomono shall not be held responsible for any direct or indirect damage arising out of any error, mistake or inaccuracy arising from the content displayed on the Website. 12. Intellectual property rights 知的財産権
Regarding applicable laws relating to intellectual property rights, including copyrights and trademark rights, the Website together with any information, text, images, photographs, audio and video clips, designs, graphics, logos, symbols, names, products and corporate designations, as well as all software contained in the Website and all other files, and their selection and arrangement, even after downloading (hereinafter “the Website Content”) are the exclusive property of Tokyomono / tokyomono.net, its affiliates or its licensors with all rights reserved. 知的財産法（著作権と商標件も含む）に従って本ウェブサイトと、本ウェブサイト内のあらゆる情報、文章、画像、写真、音声及び、動画クリップ、デザイン、グラフィック、ロゴ、シンボル、名称、製品、企業の称号、その他本ウェブサイトに含まれるすべてのソフトウェア、たとえ一部が選択もしくは修正されても（以下「本ウェブサイトコンテンツ」）はTokyomono / tokyomono.netの支社又はライセンサーの独占所有物であります。
13. General provisions / 一般条項
13.1 The Website is operated in the English language. 本ウェブサイトは英語で運営されている。
13.2 These Terms of Use and our Privacy policy are written in English and Japanese. The English version of the Terms of Use and our Privacy policy shall prevail. この利用規約とプライバシーポリシーは、英語と日本語で書かれている。本利用規約及びプライバシーポリシーは、英語版が優先される。
13.3 By navigating on the Website, users represents that they understand the Terms of Use and the Privacy policy. 本ウェブサイトを閲覧することにより、利用者は本利用規約とプライバシーポリシーを理解したものとみなされる。
13.4 In the event that any provision of these Terms of Use is found invalid or unenforceable by a court of a competent jurisdiction, the validity of the remaining provisions shall not be affected in any way whatsoever. 本利用規約のいずれかの規定が管轄を有する裁判所によって無効又は執行不可能と判断された場合、本利用規約その余の規定の有効性は影響を受けない。その際、本利用規約の当事者は、当該無効又は執行不能な規定の意図に可能な限り最も近い規定をもって、当該無効規定を置き換えるよう、誠意をもって協議するものとする。
